SUNX Terms of Use and Service Agreement – SunX

Dear Users,

To clarify the conditions for using SUNX platform services, account management requirements, trading rules, and related rights and obligations, the platform’s terms of use and service rules are set out below.

These Terms of Use are entered into between you and SUNX and apply to your access to or use of the SUNX website (Sunx.vip), mobile applications, and services provided by its relevant affiliates, collectively referred to as the “Services.”

By accessing, using, or attempting to use the Services, you acknowledge that you have read, understood, and accepted these Terms of Use and the Privacy Statement published by the platform. Certain features are also subject to additional terms and rules. If you do not agree, please do not access or use the Services.

Trading digital assets and other financial assets involves substantial risk and may result in significant financial losses. Please understand the risks fully and trade within your financial capacity and risk tolerance.

These Terms of Use contain arbitration and dispute resolution provisions. Please pay particular attention to Section XV.

I. Agreement Conditions

SUNX reserves the right to modify or amend these Terms of Use at its discretion.

Updates will be communicated by publishing the revised terms on the platform and updating the latest revision date displayed on this page. Changes take effect immediately upon publication on the website or delivery to users.

Your continued use of the Services constitutes acceptance of the amended terms and rules. If you disagree with any changes, please stop using the Services immediately. Review these Terms of Use regularly to understand the latest requirements applicable to you.

II. Eligibility

By registering and using a SUNX account, you represent and warrant that:

You are at least 18 years old or have reached the legal age required under applicable law to enter into a binding contract.
You have the full legal capacity and authority required to enter into these Terms of Use.
Your eligibility to use the Services has not previously been suspended or revoked.
You do not currently hold another SUNX account.
If you use the Services on behalf of a legal entity or other organization, you have obtained the rights and authority necessary to bind that entity.
You are a non-U.S. user.

Contract trading is subject to additional geographical and eligibility restrictions. See Section VIII.

III. Prohibited Use

You must not be a person or entity included on applicable trade or economic sanctions lists, including, without limitation:

The United Nations Security Council sanctions lists;
The “Specially Designated Nationals” designated by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC);
The U.S. Department of Commerce’s Denied Persons List.

SUNX reserves the right to select the markets and jurisdictions in which it operates and may restrict or refuse to provide Services in particular countries or regions.

IV. Platform Services

SUNX is an online asset trading platform and does not provide fiat currency trading as part of the Services. SUNX acts as a trading platform provider, not as the buyer or seller in transactions between users.

Users must register an account and deposit the relevant digital assets before trading. Digital asset withdrawals are subject to these Terms of Use and applicable restrictions.

SUNX strives to maintain the accuracy of platform information but does not guarantee its accuracy, applicability, reliability, completeness, enforceability, or suitability. Information may change without further notice.

Platform data is displayed solely for objective statistical purposes and to assist users in making independent judgments. It does not constitute investment or advisory recommendations. Users should fully understand trading risks and participate prudently.

V. Account Registration, Identity Verification, and Security

1. Account Registration

Before using the Services, you must apply for a SUNX account, provide your real name, email address, password, and other information required by the platform, and accept these Terms of Use, the Privacy Statement, and relevant consent documents.

SUNX may decide at its discretion whether to open an account for you. You must ensure that your information is complete and accurate and update it promptly when it changes.

Each registration corresponds to one user. Each user, including corporate or legal entity users, may maintain only one active account.

2. Identity Verification

By registering an account, you agree to provide personal information required for identity verification to identify risks related to money laundering, terrorist financing, fraud, and other financial crimes.

Verification information may include your name, email address, contact details, telephone number, username, government-issued identification, date of birth, and other registration information.

SUNX collects, uses, and shares information in accordance with the Privacy Policy published on the platform. Under the original agreement, identity information records are retained throughout the account’s existence and for 3 months after its closure.

You authorize SUNX, directly or through third parties, to conduct necessary identity checks and financial crime risk investigations and take corresponding action based on the results. Personal information may be disclosed to credit reporting agencies, fraud prevention agencies, or financial crime prevention agencies.

If information is incorrect, untrue, outdated, or incomplete, SUNX may request corrections, delete the information, or terminate all or part of the Services. You must continuously maintain truthful, complete, and accurate information.

3. Account Use

Accounts may be used only by their registered owners. SUNX reserves the right to suspend, freeze, or cancel accounts used by persons other than the registered owner.

Notify SUNX immediately if you discover or suspect unauthorized account use.

Under these Terms of Use, losses or damages arising from your or a third party’s use of your account are borne by the responsible parties, and SUNX assumes no corresponding liability.

4. Account Security

You must safeguard your username, password, and other access credentials, refrain from disclosing them to third parties, and take necessary measures to protect your account and personal information.

You are responsible for activities conducted through your account and agree to:

Notify SUNX immediately upon discovering unauthorized account use or other security violations.
Comply with platform requirements concerning security, authentication, trading, fees, and logout procedures.
Take appropriate steps to log out after each session.
Not register using another person’s information. Under the original agreement, earnings obtained through such registration will be deemed illicit proceeds, and SUNX assumes no liability for resulting losses.

VI. Service License and Conduct Restrictions

1. License

Subject to your continued compliance with these Terms of Use, SUNX grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to use the Services through compatible devices solely for your personal internal purposes.

Without authorization, you may not use the Services for resale, commercial purposes, or trading on behalf of other persons or entities.

These Terms of Use do not transfer ownership of platform content or intellectual property to you. Text, graphics, interfaces, images, sounds, code, software, products, documents, and related designs are owned, controlled, or licensed by SUNX or the relevant rights holders.

Rights, title, interests, and intellectual property in feedback, suggestions, ideas, and materials you submit concerning SUNX or the Services are assigned to SUNX under these Terms of Use. You waive claims for acknowledgment or compensation relating to such feedback or subsequent modifications.

2. Prohibited Conduct

When using the Services, you must comply with applicable laws, regulations, and platform rules and must not:

Harm public interests, public morals, or the lawful rights and interests of others.
Interfere with, disrupt, or obstruct other users’ use of the Services.
Engage in market manipulation, including pumping prices, wash trading, self-trading, front-running, quote stuffing, spoofing, or layering.
Without written consent, use SUNX quotes, market information, or market data for commercial trading services, data feeds, streaming services, or other fee-based or commercial profit-making purposes.
Without written consent, copy, modify, distribute, sell, rent, sublicense, create derivative works from, or otherwise exploit protected platform content, or remove or alter copyright notices.
Use unauthorized scraping tools, bots, scripts, or similar means to obtain, copy, or monitor platform content or bypass its access structure.
Obtain unauthorized access through hacking, password cracking, or similar means.
Probe, scan, or test system vulnerabilities or bypass security or authentication measures.
Track other users’ information, impose unreasonable loads on systems, or interfere with system operations or trading.
Falsify identity, impersonate others, conceal information sources, or otherwise use the Services unlawfully.

SUNX may investigate suspected violations and take action under the relevant rules, including blocking or closing order requests, freezing accounts, reporting to authorities, publishing suspected violations and actions taken, and deleting violating information.

VII. Orders, Cancellations, and Service Fees

1. Order Execution

After a trading instruction is submitted, your account is updated to reflect the outstanding order. The order enters the platform’s matching process to match with other users’ orders.

When an order is fully or partially matched, the system executes the corresponding trade and updates the account and order status. The unfilled portion remains pending until executed or canceled.

You authorize SUNX to temporarily control the relevant assets used in the transaction to complete the trade.

2. Order Cancellation

Only unmatched orders or their remaining unmatched portions may be submitted for cancellation. Matched portions cannot be changed or reversed through cancellation.

SUNX reserves the right to reject cancellation requests. If account assets are insufficient to fulfill an order, SUNX may cancel the entire order or execute the portion covered by available assets and deduct applicable fees.

3. Service Fees

You agree to pay applicable platform fees and authorize SUNX to deduct fees payable under these Terms of Use from your account.

SUNX may update service fees. Updated fees apply to purchases, sales, or other transactions occurring after their effective date.

VIII. Contract Trading Rules and Risks

1. Trading Risks

Contract trading involves extremely high risk. Leverage may amplify both gains and losses.

You should understand that:

Market liquidity, depth, and trading conditions may change rapidly.
Closing positions may be difficult or impossible during insufficient liquidity or technical problems.
Conditional orders do not guarantee that losses will be limited to the expected amount.
Liquidation does not guarantee that losses will stop increasing.
Under the original agreement, losses may exceed the amount deposited in your margin account.

2. Contract Trading Requirements

When participating in contract trading, you represent and warrant that:

You are not from the United States or Canada and are not included on applicable trade or economic sanctions lists.
You fully understand contract trading and related borrowing risks and do not trade beyond your financial capacity.
You are responsible for trading and non-trading account activities and continuously verify the actual status of positions, even if the platform displays incorrect information.
You continuously maintain sufficient assets as required by the platform and promptly repay relevant loans in full.
If assets after liquidation are insufficient to repay outstanding loans, you remain responsible for any additional asset shortfall.
You independently manage margin account risks during system maintenance, including closing positions and repaying loans as necessary.

SUNX may take measures at its discretion to mitigate potential losses, including transferring funds between margin and trading accounts.

Outstanding orders are canceled immediately upon liquidation, and you may lose all positions and funds in your futures account. If all positions cannot be closed through liquidation, a counterparty liquidation mechanism may be activated.

Network delays, system failures, and other force majeure factors may cause delays, suspensions, interruptions, or execution deviations in contract services. SUNX will endeavor to maintain system operations but does not guarantee that the execution system will always be stable or effective and assumes no liability for differences between execution results and expectations caused by such factors.

3. Prohibited Conduct and Enforcement Measures

Using multiple accounts or devices for illicit arbitrage is prohibited, including, without limitation, fee farming, commission rebate farming, bonus arbitrage, and hedging. The platform may identify account risks through multidimensional characteristics and take measures such as banning accounts, freezing assets, restricting login, or requiring identity verification.

For frequent ultra-short-term position opening and closing identified by the system, SUNX reserves the right to:

Terminate the account and access to servers and deduct illicit proceeds;
Declare the relevant trades invalid;
Close the relevant trades at current platform market prices;
Increase position holding time requirements.

SUNX reserves the right to impose account controls for price manipulation, malicious market conduct, exploiting service vulnerabilities to harm other users or the platform, and other activities deemed harmful to the market.

IX. Disclaimers, Limitation of Liability, and Indemnification

1. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services and related materials, products, and services are provided on an “as is” and “as available” basis.

SUNX does not guarantee that content is accurate, complete, reliable, valid, error-free, or free from viruses or other harmful components, nor that orders will be accepted, executed, recorded, or remain pending.

Except as expressly provided in these Terms of Use, SUNX makes no other express or implied warranties, including merchantability, fitness for a particular purpose, title, or non-infringement.

Losses arising from price data errors, omissions, transmission delays, data interruptions, or other users’ conduct are handled under these Terms of Use and applicable law. Disclaimers may not apply where prohibited by local law.

2. Limitation of Liability for Damages

To the maximum extent permitted by applicable law, SUNX, its affiliates, and related persons are not liable for incidental, indirect, special, punitive, consequential, or similar damages, including losses of data, revenue, profits, or other business or financial interests.

This provision does not apply to damages finally determined by a court to have resulted from SUNX’s gross negligence, fraud, willful misconduct, or intentional violation of law. Certain jurisdictions may prohibit such exclusions or limitations.

Under the original agreement, total liability shall not exceed the fees you paid to SUNX under this Agreement before the event giving rise to the claim.

3. Indemnification

You agree, under these Terms of Use, to indemnify and hold SUNX and related parties harmless from claims, litigation, investigations, costs, damages, and related fines arising from your use of the Services, breach of these Terms of Use, violation of applicable laws or regulations, or infringement of third-party rights.

Where indemnification obligations apply, SUNX may control the relevant litigation or proceedings and determine whether to settle and on what terms.

X. Official Announcements

Official announcements, news, promotions, and competition information will be published on the SUNX platform. Please review them regularly.

Under these Terms of Use, SUNX assumes no corresponding compensation liability for personal losses caused by failing to review or disregarding announcements.

XI. Account Suspension and Agreement Termination

SUNX may suspend accounts, freeze or lock funds, and suspend access to all or part of the Services under these Terms of Use, including where violations of the Terms of Use, Privacy Statement, or applicable laws and regulations are suspected.

Such measures may also apply when:

An account is subject to governmental proceedings, criminal investigations, or pending litigation;
Abnormal account activity occurs;
Unauthorized access is detected;
A court, regulator, or governmental authority requires action.

SUNX may cancel accounts and terminate this Agreement upon termination of service, repeated registration in another person’s name, provision of untrue or incomplete information, rejection of amended terms, a user’s request to terminate service, or other circumstances the platform considers grounds for termination.

After account termination, account and transaction information meeting retention standards is securely retained for 3 months under the original agreement. SUNX may notify counterparties of the circumstances where transactions remain incomplete. Requests to close accounts or exercise data deletion rights are also subject to relevant termination and retention provisions.

If account funds are suspected to be stolen or not lawfully owned by the user, SUNX may impose controls on relevant funds and accounts until the dispute is resolved and acceptable evidence is received. SUNX does not participate in resolving such fund ownership disputes.

1. Remaining Funds After Termination

After account closure or cancellation, unpaid fees, debts, and remaining funds must be handled in accordance with the Agreement.

2. Accounts Suspected of Fraud, Illegality, or Violations

If an account is suspended or closed due to a fraud investigation, an investigation into unlawful conduct, or a breach of these Terms of Use, SUNX reserves custody of relevant funds and user data and may transfer them to governmental authorities.

XII. No Investment or Financial Advice

SUNX is not your broker, intermediary, agent, or adviser, and your use of the Services does not create a fiduciary relationship or fiduciary duties.

Platform information and communications do not constitute investment, financial, trading, or other professional advice. Trades are executed automatically according to your order parameters and published execution procedures.

You should independently determine whether investments, strategies, or trades are suitable for you based on your investment objectives, financial circumstances, and risk tolerance.

SUNX does not recommend buying, acquiring, selling, or holding any digital asset. Conduct your own due diligence and consult financial, legal, or tax professionals as needed before making decisions.

XIII. Compliance with Local Laws

You are responsible for complying with local laws relating to your use of SUNX Services and for applicable tax obligations, including withholding, collection, reporting, and payment to relevant tax authorities.

You confirm that your funds come from lawful sources and do not originate from illegal activities.

SUNX may lawfully cooperate with enforcement agencies and take measures concerning accounts and funds subject to legally authorized seizure, freezing, closure, or investigation.

XIV. Privacy Statement

Accessing or using the Services may require you to provide personal identification information.

Please read the Privacy Statement published on SUNX’s official website to understand how personal information is collected, used, shared, and otherwise processed.

XV. Dispute Resolution and Arbitration

1. Notice of Dispute

Before bringing a claim, you agree to contact SUNX through its official website to attempt informal resolution.

2. Arbitration Arrangement

Subject to agreed exceptions, you and SUNX agree to resolve disputes concerning this Agreement, the Services, products, or relevant statements through final and binding arbitration, including questions concerning the Agreement’s existence, validity, or termination.

If the claim remains unresolved within 60 days after SUNX receives notice, you may seek relief through arbitration or Singapore’s Small Claims Tribunals (SCT) under the relevant provisions.

3. Arbitration Procedure

Disputes may be submitted to arbitration under the rules of the Singapore International Arbitration Centre (SIAC).

The tribunal consists of a sole arbitrator appointed by the President of SIAC.
Arbitration hearings are conducted in English.
The seat or legal place of arbitration is Singapore.
Enforcement of an arbitral award may be sought before a court with jurisdiction over the losing party or its assets.

4. Exceptions

If a claim falls within the jurisdiction of Singapore’s Small Claims Tribunals, either party may choose to bring the claim there.

Either party may also seek an injunction or other urgent equitable relief from a competent court. Claims outside the jurisdiction of the Small Claims Tribunals are submitted to SIAC arbitration as agreed.

5. Arbitration Notice

To commence arbitration, you must send SUNX a letter specifying the arbitration request and claim. If SUNX commences arbitration, notice will be sent to your provided email or correspondence address.

XVI. Other Provisions

1. Independent Relationship

SUNX is an independent service provider, not your agent. These Terms of Use do not create an association, joint venture, partnership, or franchise relationship between the parties.

2. Entire Agreement

These Terms of Use constitute the entire agreement concerning use of the Services and supersede prior relevant written or oral agreements. Trade customs or other customary practices are not used to amend, interpret, supplement, or vary these Terms of Use.

3. Force Majeure

Delays or failures to perform caused by circumstances beyond SUNX’s reasonable control are handled under these Terms of Use and applicable law.

4. Severability

If a provision is held invalid or unenforceable, the remaining provisions remain effective. The invalid or unenforceable provision applies to the maximum extent permitted.

5. Assignment of Rights and Obligations

You may not assign rights or obligations under these Terms of Use without SUNX’s prior written consent.

Under the original agreement, SUNX may assign all or part of its rights or obligations without obtaining your further consent or approval.

6. No Waiver

A party’s failure to immediately require performance does not waive its right to require performance later. Waiving enforcement for one breach or violation does not waive subsequent breaches or violations or the relevant provision itself.

7. Third-Party Websites

Links to third parties within the Services do not mean that SUNX endorses their products, services, or information or guarantees their accuracy.

Read the terms of use and privacy policies of third-party websites before using them.
