SUNX Compliance Statement, Trading Risks, and Disclaimer

Dear Users,

This statement should be read together with the SUNX Terms of Use and Service Agreement. It is intended to help you understand the compliance requirements, trading risks, and limitations of liability associated with platform services. Please read it carefully before using the Services and make prudent decisions based on applicable local legal requirements, your financial circumstances, and your risk tolerance.

I. Purpose

To maintain an orderly digital asset trading environment, SUNX establishes and implements measures concerning anti-money laundering, counter-terrorist financing, and trade and economic sanctions, and sets out liability provisions for platform services.

SUNX is committed to conducting lawful and transparent business activities and maintaining the trust of users, regulators, and the digital asset industry.

II. Regulatory Environment

The definition, classification, and regulation of digital assets may differ across countries or regions. Requirements may also change as laws and regulatory policies evolve.

Users should not determine an asset’s legal status or their eligibility to use services solely by its name, technical form, or presentation on the platform. Before using SUNX services, please understand applicable local laws, regulations, and platform restrictions.

III. Compliance Disclosures and Geographical Service Restrictions

1. Digital Assets

Digital assets should not be regarded as legal tender. Digital assets such as Bitcoin and Litecoin are not backed or guaranteed by any government or central bank.

SUNX conducts business under the laws and regulations applicable where it operates and discusses the regulation and management of digital asset businesses with regulators and industry participants.

2. Cooperation with Law Enforcement and Regulators

SUNX cooperates with relevant government departments and law enforcement agencies in accordance with applicable laws and regulatory requirements.

If the platform receives a lawful request for information, or assistance is required in a legally permitted investigation to trace and prevent unlawful activities, it will provide assistance in accordance with applicable requirements.

Platform services are intended for users who use them lawfully. Do not use the platform for unlawful activities.

3. Geographical Service Restrictions

SUNX services are not available to residents of the following countries or regions:

Afghanistan, Burundi, Belarus, the Central African Republic, Congo, mainland China, the Hong Kong Special Administrative Region, the Macao Special Administrative Region, Singapore, Malaysia, Ethiopia, Guinea, Guinea-Bissau, Iraq, Iran, the Democratic People’s Republic of Korea, Lebanon, Sri Lanka, Libya, Serbia, Sudan, Somalia, South Sudan, the Syrian Arab Republic, Thailand, Tunisia, Trinidad and Tobago, Ukraine, Uganda, the United States, Venezuela, Yemen, Zimbabwe, and Cuba.

Restrictions concerning the United States include all U.S. territories, such as Puerto Rico, American Samoa, and Guam.

This list may change, and geographical restrictions may vary by service. Please confirm the applicable requirements before using the relevant services.

IV. Anti-Money Laundering and Counter-Terrorist Financing Measures

SUNX employs risk-based, multilayered controls to prevent the platform from being used for money laundering or terrorist financing.

1. User Identification

The platform identifies and verifies individual and corporate users.

In addition to identification documents, the platform obtains information about beneficial owners and relevant natural persons from users that are not natural persons. Identification procedures refer to relevant international standards, including requirements of the Financial Action Task Force (FATF).

2. Risk Screening and Customer Due Diligence

The platform conducts customer due diligence through risk-based system controls.

Screening covers users and their beneficial owners and refers to lists including:

• Relevant organizations or persons published in the Hong Kong SAR Government Gazette;
• Sanctions lists of the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC);
• United Nations Security Council sanctions lists;
• Other relevant sanctions lists.

The platform may also refer to other lists according to risk circumstances to protect platform and user interests.

3. Ongoing Monitoring and Suspicious Transaction Reporting

The platform continuously monitors suspicious activities. If suspicious transactions are identified or reasonably suspected, it will submit relevant reports to local regulators according to applicable requirements and actual circumstances.

Suspicious transactions may typically be inconsistent with a user’s known lawful business or ordinary personal trading activities. The platform will assess them in light of the actual circumstances.

V. Digital Asset Trading Risks

Digital asset trading involves substantial risk. Trading or holding digital assets may result in significant losses.

Digital assets such as Bitcoin and Litecoin are not backed or guaranteed by governments or central banks. Do not regard asset values, historical prices, or platform information as protection of your principal or a promise of returns.

Please carefully assess whether using, holding, or trading digital assets is suitable for you based on your financial circumstances, and fully understand the losses you may incur.

VI. Disclaimers and Limitations of Liability

1. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services, materials provided by SUNX, and products, services, or other items provided by or on behalf of SUNX are supplied on an “as is” and “as available” basis.

Such damages include, without limitation, losses of data, information, revenue, profits, or other business or financial interests.

These limitations apply to claims based on contract, statute, strict liability, or other legal theories, even if SUNX has been advised of the possibility of such damages.

These exclusions do not apply to damages finally determined by a court to have resulted from SUNX’s gross negligence, fraud, willful misconduct, or intentional violation of law.

Some jurisdictions do not permit the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to you.

3. Monetary Limitation of Liability

Under the relevant agreements and to the extent permitted by applicable law, the total liability of SUNX, its affiliates, and the parties identified above arising from performance or non-performance of the Services or related products, services, or other items shall not exceed the fees you paid to SUNX under the relevant agreements before the event giving rise to the liability claim.

This limitation applies to claims based on contract, statute, strict liability, or other legal theories.
