Service & Privacy Terms

This Agreement is entered into between you and SunX. By accessing or using any services provided by the SunX platform or any of its websites (www.Sunx.vip), mobile applications, or other related services provided by SunX or any of its affiliates as further described in Clause 4 below (collectively, the “Services”), you acknowledge that you have read, understood and accepted all terms and conditions of this User Terms of Use (the “Terms of Use”), as well as our Privacy Statement published on the platform. In addition, when using certain features of the Services, you may be required to comply with additional terms and conditions applicable to those features.

This Services Agreement sets out the terms under which a user may introduce third-party users to the platform, explains the platform’s obligations to you in respect of your invitation of users, and explains your obligations to us under the invitation programme provided by the platform.

1. Commitment and Electronic Signature

You hereby acknowledge and agree that: by using and/or sharing the unique user referral code and referral registration link or address designated by the platform on the platform’s main website, and by continuing to access or use the platform’s main website; and by referring potential new users to the platform’s main website to analyse and provide information about the platform and/or financial products; you fully agree to comply with and be bound by all terms and conditions set by the platform, as supplemented by applicable Services terms in this Services Agreement.

To the extent permitted by mandatory law, you hereby waive any rights in any jurisdiction to require original (non-electronic) signatures or deliveries or retention of non-electronic records.

2. User Invitation Terms and Written Warranties

a. You and the invited user have all necessary authority to enter into and be fully bound by this Services Agreement, and he/she/it has taken all necessary actions in this regard. The user confirms that he/she/it can enter into this Services Agreement, and obtain any approvals and/or authorisations and/or qualifications required under local law to provide the services referenced in this Services Agreement.

b. As the inviter, you must at all times provide the platform with true and complete information; including but not limited to contact information, the nature of the intermediary activities carried out for the introduction, explanation and/or facilitation of financial services provided by the platform to potential users, and any other information the platform may request.

c. Neither you nor your invited user is authorised, nor may act in any way as a representative of SunX to provide any investment advice to the referred user.

d. Users have the obligation, where necessary, to disclose to the referred user any commission received and any other commission relating to services provided under this Services Agreement.

e. You must not use the platform’s logo in any communication, including but not limited to any business card or any form of electronic transmission, unless expressly authorised by the platform.

f. You and your invited user undertake that he/she will not register any platform name containing “SunX”, and will not register or operate any domain name containing “SunX”.

g. You and your invited user represent and warrant that he/she will not place promotional materials relating to the platform on any website, nor use any media or medium that contains such materials, including but not limited to websites which: (1) promote (including by linking to) pornographic materials, violence or illegal activities; (2) promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; (3) manipulate keywords in portals and/or search engines conflicting with the platform’s website; (4) by choosing the visual “look” or text of the platform’s main website, mis-represent themselves as the platform’s main website, or otherwise infringe the platform’s intellectual property, including but not limited to copying text or images from the platform’s main website or banner ads and/or text links managed by the platform, search marketing or all other online and offline campaigns; (5) include “SunX” or a variant/misspelling in the domain name of the user’s site; (6) fails to clearly provide an online privacy policy to its site visitors; (7) is deemed by the platform in its discretion to be offensive or inappropriate.

h. Users shall not authorise or encourage any third party to:

(1) directly or indirectly exploit the online services provided by the platform by any automated, deceptive, fraudulent or other invalid means (including but not limited to via repeated means) by manually clicking, using robots or other automated tools and/or computer-generated queries, and/or unauthorised use of other search engine optimisation services and/or software;

(2) edit, modify, filter, truncate or alter the order of information contained in any part of the platform’s main website, or in any manner delete, mask or minimise any portion of the platform’s main website without the platform’s authorisation;

(3) upon clicking any part of the platform’s main website, hide, minimise or otherwise prevent full display of any webpage to which a user would otherwise gain access;

(4) redirect any user to locations outside the platform’s main website;

(5) provide any version of a webpage that differs from the page the end-user would access directly on the platform’s main website; insert any content between the platform’s main website and the target page; or otherwise provide any webpage or website that links directly from the user’s site to the platform’s approved log-in page on the platform’s main website under this Services Agreement;

(6) via or from any software application, website or referral, directly or indirectly access, launch and/or activate access to the online services provided by the platform, or otherwise combine access to the online services provided by the platform or referrals other than via their website, and only to the extent permitted expressly by this Services Agreement;

(7) “scrape”, “crawl”, index or otherwise store or cache in any non-transitory manner any information solicited from or by or identified as or recommended to the platform’s main website by any user;

(8) act in any manner contrary to the various policies published on the platform’s main website, which may be revised from time to time, or included in any other agreement between associated platforms and the platform (including but not limited to this Services Agreement);

(9) disseminate malicious software;

(10) after the termination of this Services Agreement between the platform and the user due to user’s breach of this Services Agreement, create a new account to register for the user programme of the platform;

(11) engage in any conduct or practice that reflects poorly on the platform or disparages or devalues the platform’s reputation and/or goodwill.

i. Except as expressly provided in this Services Agreement, and only within the prescribed scope, users are prohibited from sending emails, text messages, MMS or mass-messages for the purpose of promoting the platform, the platform’s main website, the user programme of the platform and/or the online services provided by the platform.

j. In addition, you expressly acknowledge and agree that the platform does not participate in or condone large volumes of unsolicited email (for example, spam, desktop-clip-board promotions) to promote the platform, the platform’s main website, the user programme of the platform and/or the online services provided by the platform. You and your invited users also expressly acknowledge and agree that he/she will comply with this policy.

k. You and your invited users acknowledge and agree that any attempt to engage in or violation of any of the foregoing behaviours constitutes a material breach of this Services Agreement, and the platform may in its sole discretion seek any and all available legal and equitable remedies against you and your invited users, including without limitation the immediate suspension of associated user accounts on the platform and/or immediate termination of this Services Agreement, without prior notice, and/or seek all available civil or criminal remedies.

l. The associated platform further declares and warrants that its website and any materials displayed on it: (1) comply with all applicable laws, regulations, orders, rules and other applicable provisions; (2) do not breach, and have not breached, any obligations or rights of any person or entity, including without limitation intellectual property rights, publicity or privacy rights, or rights or obligations under consumer-protection laws, product liability, tort or contract; (3) the content does not involve pornography, hate or other violent acts.

m. You and your invited users acknowledge and confirm that he/she has an existing user base or influence/audience (KOL). According to the SunX user commission table, each commission level requires active trading users. Registering as a user for self-trading account to generate commission and/or using multiple accounts as active users will breach SunX user terms and result in user account ban. SunX reserves the right to unilaterally adjust and/or remove generated commissions.

n. Strictly prohibited to use search-engine marketing techniques (for example bidding on SunX brand name in any search engine); SunX reserves the right to terminate user accounts without further notice.

o. Strictly abide by and warrant:

(1) clearly inform users of trading risks; do not use promise of returns or managed account schemes to invite user registration;

(2) no false promotion such as fabricated charts of returns, fabricated profitable users etc to attract users;

(3) no mass-spam promotion such as group messages, telemarketing, traffic ads, bulk social direct-messages; maintain platform image;

(4) The platform only accepts digital tokens; it must not collect any fiat currency from users or conduct fiat-to-token exchanges with users;

(5) Strictly forbid giving any trading advice, including any form of promotion, guidance, or recommendation;

(6) Do not exploit invitation rebates for illicit arbitrage, including but not limited to self-invite, multiple-account arbitrage, and wash-trading;

(7) Do not attract users by defaming or overstating competitor scandals; maintain fair and healthy market environment.

3. User Rights and Obligations

a. Subject to your and your invited users’ obligations under this Services Agreement, the platform shall not be responsible or liable for any advice, recommendation or decision you or your invited users provide to referred users.

b. In order for a user to qualify for any commission related to referred users, all requirements set out in this Services Agreement must be satisfied, and the user must ensure the referred user opens an account on the platform using that user’s unique referral link/code.

c. If you and your invited users establish a website to facilitate their business development, in order to identify and determine appropriate opportunities it must include the following features and information:

(1) A link that guides prospective users to the platform’s main website;

(2) The platform’s information and/or logo and/or slogan must be visible to prospective users;

(3) An accurate description of the platform’s product must be provided to give users specific information about the platform’s financial products and services so that users may enter into an agreement with the platform.

d. Users must obtain the platform’s approval before uploading any information or function relating to the platform and its services.

e. The platform may in its sole discretion decide to accept or refuse any user referred by you or your invited users and may terminate its business relationship with any user at any time. All data relating to users opening accounts on the platform will be retained as the platform’s proprietary property, unless this Agreement explicitly states otherwise; neither you nor your invited users shall obtain such information merely by signing this Services Agreement.

f. Subject to compliance with the terms and conditions of this Services Agreement and the Terms of Use, you and your invited users agree that all referral activities directed towards prospective users to the platform must be professional, appropriate and legal in accordance with applicable rules or laws.

4. Platform Rights and Obligations

a. The platform guarantees to pay you the referral commissions in a timely manner in accordance with this Services Agreement.

b. The platform is responsible for calculating and paying user commissions.

c. In the event of any dispute or user complaint, the platform reserves the right to withhold any commissions related to that user until the issue is resolved.

d. If the platform discovers that the trading activity of any user referred by you is subject to abuse, the platform reserves all rights, including without limitation the immediate suspension or termination of the associated account at the platform’s discretion.
